Cornerstone Fintech is the commercial face of an institutional payments strategy. The regulated electronic money institution under proposed acquisition is BENKER UAB — a Lithuanian EMI supervised by the Bank of Lithuania.
Cornerstone Fintech markets and structures payment programs for institutional counterparties. It is not itself a bank, does not take FDIC-insured deposits, and does not perform US card acquiring under current program design.
The underlying regulated vehicle being acquired is BENKER UAB, company code 305084126, registered in Vilnius, Lithuania, holding Bank of Lithuania EMI Licence No. 91 (authorisation LB002125).
Closing of the acquisition is subject to Bank of Lithuania change-of-control / qualifying-holding approval, Visa/Mastercard consents as required, satisfactory due diligence, and definitive agreements. Until then, all public messaging carries pending-approval language.
Interim commercial relationships — if entered — are designed as processing and program-management arrangements that do not transfer premature control of the licensed EMI.
